1. Service Description

CellMateAI provides an AI-powered voice companion service accessible via telephone for individuals in correctional facilities and their families. The Service offers:

• 24/7 AI voice conversation and emotional support
• Educational content, legal information resources, and vocabulary building
• Music playback (subject to facility policies and subscription tier)
• Fitness and wellness guidance
• Spiritual and motivational content
• Family communication tools and message delivery
• Referral program with credits and rewards

2. Eligibility and Account Setup

2.1 Who Can Use This Service

• Family members or authorized contacts must be 18 years or older to create and pay for accounts
• The Service is intended for individuals in correctional facilities and their families
• Accounts are set up by family members or authorized contacts on behalf of incarcerated individuals
• Incarcerated individuals may access the Service directly by calling our number without a pre-existing account (open access model)

2.2 Account Creation

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of account credentials
• You must notify us immediately of any unauthorized use at [email protected]
• One account per inmate; multiple accounts for the same person are prohibited

3. What CellMateAI Is and Is Not

3.1 What CellMateAI Provides

• Emotional Support: A friendly, empathetic AI conversation partner
• Companionship: Someone to talk to 24 hours a day, 7 days a week
• General Information: Conversations about hobbies, interests, and everyday topics
• Educational Resources: GED preparation, vocabulary, and general knowledge
• Legal Information: General legal information and case tracking (not legal advice)
• Music: Song playback when facility policies and subscription tier allow

3.2 What CellMateAI Does NOT Provide

• NOT Legal Advice: CellMateAI provides general legal information only. Nothing in our Service constitutes legal advice, and you should always consult a licensed attorney for legal matters.
• NOT Medical Advice: CellMateAI cannot diagnose, treat, or provide medical advice. Always consult a licensed healthcare professional.
• NOT Crisis Intervention: CellMateAI is not a substitute for professional mental health services. If you or someone you know is in crisis, please contact emergency services.
• NOT a Replacement for Human Connection: CellMateAI supplements, but does not replace, human relationships and professional services.

4. Prohibited Uses

You agree NOT to use CellMateAI to:

• Plan or facilitate escape from correctional facilities
• Arrange for contraband, illegal items, or controlled substances
• Plan, discuss, or facilitate any illegal activities
• Threaten, harass, or intimidate any person
• Engage in sexually explicit or inappropriate conversations
• Attempt to circumvent security measures, content filters, or authentication systems
• Share account credentials with unauthorized individuals
• Use the Service for commercial purposes without written authorization
• Attempt to reverse-engineer, scrape, or copy the Service
• Impersonate any person or entity

5. Monitoring and Privacy

5.1 Call Recording and Monitoring

• All calls may be recorded for quality assurance and safety purposes
• Conversations may be monitored by automated systems for content safety violations
• AI-generated transcripts may be created and stored
• Correctional facilities that have contracted with CellMateAI may have access to call records and transcripts

5.2 Content Safety

• CellMateAI uses automated content moderation to detect prohibited content in real time
• Violations are logged and may be reviewed by human staff
• Repeated violations may result in account suspension or termination

5.3 Mandatory Reporting

We may be required by law to report certain information to authorities, including but not limited to:

• Credible threats of harm to self or others
• Plans for illegal activities
• Information related to ongoing criminal investigations when legally compelled

6. Billing and Payments

6.1 Subscription Plans

• You select a monthly subscription plan with a fixed number of minutes
• Minutes reset at the beginning of each billing cycle
• Unused minutes do not roll over to the next month
• Auto-renewal is enabled by default and can be disabled by contacting [email protected]

6.2 Prepaid Packs and Add-Ons

• Prepaid minute packs are available for one-time purchase and do not auto-renew
• Add-on minute boosts can be purchased at any time to supplement an active subscription
• Prepaid and add-on minutes expire 90 days from purchase if unused

6.3 Payment Processing

• Payments are processed securely through Stripe, Inc.
• You authorize us to charge your payment method on the recurring billing date
• You are responsible for keeping payment information current
• Failed payments may result in service interruption after a 3-day grace period

6.4 Refunds

• Refunds for unused minutes are provided at our discretion within 7 days of purchase
• If the Service is unavailable for more than 24 consecutive hours due to our fault, we will issue a prorated credit
• Accounts terminated for violations are not eligible for refunds

6.5 Cancellation

• You may cancel your subscription at any time by contacting [email protected]
• Cancellation takes effect at the end of the current billing period
• You retain access to remaining minutes until the end of the billing period
• There are no cancellation fees

7. Service Availability

• We strive for 99% uptime but do not guarantee uninterrupted service
• The Service may be temporarily unavailable for maintenance, upgrades, or circumstances beyond our control
• We reserve the right to modify, suspend, or discontinue features with reasonable notice
• Facility phone systems, lockdowns, or institutional policies may affect service availability and are outside our control

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• CellMateAI is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total aggregate liability to you is limited to the total amount you paid to us in the 12 months preceding the claim
• We are not responsible for any actions taken or decisions made based on AI-generated responses
• We are not liable for facility policies, restrictions, or actions taken by correctional institutions
• We are not liable for interruptions caused by third-party services (Twilio, OpenAI, Stripe, etc.)

9. Disclaimer of Warranties

• CellMateAI is an AI system and may make mistakes, produce inaccurate information, or respond inappropriately
• Responses are generated by artificial intelligence and should not be relied upon for critical legal, medical, or financial decisions
• We do not warrant the accuracy, completeness, timeliness, or usefulness of any information provided by the Service
• We do not warrant that the Service will meet your specific needs or expectations

10. Indemnification

You agree to indemnify, defend, and hold harmless CellMateAI, its owners, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Any content you provide or actions you take through the Service

11. Account Suspension and Termination

11.1 We May Suspend or Terminate Your Account If:

• You violate any provision of these Terms
• You use the Service for any prohibited purpose
• Payment fails or is charged back
• We are required to do so by law, court order, or facility policy
• We reasonably suspect fraudulent activity

11.2 Effect of Termination

• Access to the Service will be immediately revoked upon termination
• Unused minutes are forfeited upon termination for violations
• No refunds will be issued for accounts terminated for policy violations
• We may retain records as required by law or for legitimate business purposes

12. Changes to Terms

• We may update these Terms at any time at our sole discretion
• Changes will be posted on our website with an updated "Last Updated" date
• Continued use of the Service after changes constitutes your acceptance of the new Terms
• Material changes will be communicated via email when a valid email address is on file

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

13.2 Arbitration

Any disputes arising from these Terms or use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) Consumer Arbitration Rules, except for:

• Claims that qualify for small claims court
• Claims for injunctive or equitable relief

13.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions, class arbitrations, or representative proceedings of any kind.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CellMateAI with respect to the Service and supersede all prior and contemporaneous agreements, representations, and understandings.
